12. Governing Law and Dispute Resolution

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New Jersey. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13. Termination

We reserve the right to suspend or terminate your access to the Site at any time and for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease. Sections 5, 6, 8, 9, 10, and 12 of these Terms will survive any termination.

14. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver in one instance does not constitute a waiver in any future instance.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SYMREC with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether written or oral, relating to such subject matter.
